Terms of sale
These general terms and conditions of sale (the "Terms of Sale") govern the services provided by Phuc Labs, operated by Morgan Phuc EI, to professional clients.
1. Identification of the service provider
Morgan Phuc EI, French sole proprietor (entrepreneur individuel) trading under the business name Phuc Labs, registered under SIREN 827 445 396, SIRET 827 445 396 00027, with the Toulouse Trade and Companies Register, registered business address: 120 ul. sv.sv. Kiril i Metodiy — 1202 Sofia, Bulgaria.

VAT: VAT not applicable under the current tax regime.
2. Scope of application
These Terms of Sale apply to services sold by Phuc Labs to professional clients — in particular: conversion strategy, website or landing page audit, copywriting, design, creation or optimisation of landing pages, integration, ongoing support, maintenance, advice and services involving digital or artificial intelligence tools.
The applicable Terms of Sale are those in force at the date of acceptance of the quote. Specific conditions stated in a quote, business proposal or signed agreement prevail over these Terms of Sale.
These Terms of Sale are drafted for B2B use. In the event of a sale to a consumer, specific provisions must be added — in particular regarding the right of withdrawal, consumer mediation and statutory warranties.
3. Quote, order and validation
Each service is the subject of a quote, business proposal or written agreement specifying the scope, deliverables, price, indicative timeline and payment terms.
The order is considered validated upon written acceptance of the quote or proposal, accompanied where applicable by payment of the agreed deposit.
Unless otherwise stated, quotes are valid for 30 days from the date of issue.
4. Price and payment
Prices are stated in euros, exclusive of tax. Phuc Labs benefits from the French VAT exemption regime applicable to small businesses, unless its tax status changes.
Unless otherwise agreed in the quote, payment terms are as follows:
- 50% deposit at order;
- 50% on final delivery or before go-live, depending on the type of service;
- recurring maintenance or support packages are payable in advance, monthly or according to the frequency stated in the quote.
Payment is made by bank transfer or any other method stated on the invoice.
5. Late payments
Any late payment automatically gives rise, without prior formal notice, to late payment penalties calculated at a rate at least equal to three times the legal interest rate in force in France, together with a fixed recovery indemnity of 40 €.
Where the recovery costs actually incurred exceed this fixed indemnity, Phuc Labs may seek additional compensation upon production of supporting documents.
In the event of late or unpaid invoices, Phuc Labs reserves the right to suspend ongoing services, delivery of files, go-live, maintenance or access to certain services until full payment of the amounts due.
6. Timelines and client cooperation
Timelines stated in quotes are indicative, unless otherwise agreed in writing. They depend in particular on the client's responsiveness, the timely provision of information, content, technical access, approvals and feedback.
The client undertakes to provide accurate, complete and usable information. Any significant delay in delivery or change of scope may result in a timeline extension or additional invoicing.
7. Revisions and changes
Unless otherwise stated in the quote or on the offer presentation page, the service includes the number of revision cycles stated in the subscribed offer.
Requests outside the initial scope, late-stage changes of direction, additions of pages, features, languages, integrations or variants not provided for in the quote may be subject to an additional quote.
8. Delivery, acceptance and validation
Deliverables are sent by link, file, tool access, deployment or any other method agreed between the parties.
The client has 7 working days from delivery to notify Phuc Labs in writing of any substantial non-conformity with the validated scope. Failing such notice within this period, the deliverables are deemed accepted.
9. Maintenance, hosting and third-party services
Maintenance services, where subscribed to, are defined in the relevant quote or contract: scope, frequency, support, response times, exclusions and duration.
Unless otherwise stated, hosting, domain names, SaaS subscriptions, licences, plugins, image banks, third-party tools and advertising costs remain the responsibility of the client.
Phuc Labs cannot be held liable for interruptions, price changes, limitations, bugs or changes of terms imposed by third-party providers.
10. Intellectual property
Transfer of economic rights over deliverables specifically created for the client takes place after full payment of the amounts due, within the limits of the scope provided for in the quote.
Methods, frameworks, templates, prompts, processes, generic components, libraries, know-how, pre-existing elements and internal tools of Phuc Labs remain the property of Phuc Labs.
Items provided by the client remain its property. The client warrants that it holds the rights necessary over the content, brands, visuals, data, texts and elements transmitted to Phuc Labs.
Unless objected to in writing by the client, Phuc Labs may mention the client's name and present the work carried out as a commercial reference, portfolio item or case study.
11. Confidentiality
Each party undertakes to keep confidential the non-public information received in the course of the service, except in the event of a legal obligation, contrary written agreement or information already known to the public.
12. Liability
Phuc Labs is bound by an obligation of means. Strategy, copywriting, design, optimisation or marketing services do not guarantee any specific level of revenue, conversion, traffic, SEO ranking or commercial performance.
Phuc Labs cannot be held liable in the event of misuse of the deliverables, modification by the client or a third party, lack of access, inaccurate information provided by the client, commercial decisions taken by the client, or malfunction of a third-party service.
In B2B relationships, the total financial liability of Phuc Labs, all losses combined, is limited to the amount actually paid by the client for the service concerned, except in cases of gross fault, wilful misconduct or where a mandatory legal provision provides otherwise.
13. Cancellation and termination
In the event of cancellation by the client after order validation, the amounts corresponding to work already performed remain due. Any deposit paid is retained by Phuc Labs, unless otherwise agreed in writing.
Recurring services may be terminated under the conditions set out in the quote or contract. Failing any such precision, they may be terminated with 30 days' written notice.
14. Force majeure
Neither party shall be held liable for a delay or non-performance resulting from a force majeure event within the meaning of French law.
15. Personal data
In the context of the business relationship, Phuc Labs may process personal data relating to the client or its representatives. These processing activities are described in the Privacy policy.
16. Governing law and disputes
These Terms of Sale are governed by French law.
In the event of any dispute, the parties shall endeavour to find an amicable solution. Failing an amicable agreement, the dispute will fall within the jurisdiction of the competent courts in the place where Phuc Labs is registered, subject to applicable mandatory public-order rules.
